May 26, 2021. Vancouver, B.C. – Marvel Discovery Corp. (TSX-V: MARV), (Frankfurt: O4T1), (IMTFF: OTC PINKS); (“Marvel” or the “Company”) has closed its non-brokered private placement previously announced May 21st 2021 (The “Offering”). The company has received a total of $300,000.
The company will issue 2,400,000 units at a purchase price of $0.125. Each unit consisting of one flow-through common share and one-half of one common share purchase warrant; each whole warrant (“Warrant”) entitling the holder to subscribe for and purchase one non-flow-through common share (“Warrant Shares”) at a price of $0.25 for a period of 24 months following the acceptance date. The shares and warrants are subject to a four-month hold (as per TSX Venture Exchange policy).
The aggregate gross proceeds from the sale of the FT Offering will be used for exploration and development of the Company’s Duhamel Nickel, Copper, Cobalt Prospect located in Quebec.
A Finders’ fees in the amount of $24,000 has been paid in connection with the Offering in accordance with the policies of the TSX Venture Exchange (the “Exchange“).
Completion of the Offering, and payment of the Finders’ fee are subject to the approval of the Exchange.
